Terms of Service

These Terms of Service ("Terms") govern your access to and use of Boothlyo's website, applications, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms.

Acceptance of terms

If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

Account registration and responsibilities

You must provide accurate registration information and keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at hello@boothlyo.com if you suspect unauthorized access.

Acceptable use

You agree not to:

• Use the Service in violation of applicable law or regulation;
• Attempt to gain unauthorized access to the Service, other accounts, or underlying systems;
• Upload malware, interfere with the integrity or performance of the Service, or impose an unreasonable load on our infrastructure;
• Use the Service to transmit spam, harass others, or distribute unlawful content;
• Reverse engineer, decompile, or attempt to extract source code except to the extent permitted by law.

We may suspend or terminate access for conduct that we reasonably believe violates these Terms or threatens the security of the Service.

Subscription and payment

Certain features require a paid subscription. Fees are billed in advance on a recurring basis unless otherwise stated. Payments are processed by Stripe. By subscribing, you authorize us and Stripe to charge your payment method for applicable fees and taxes. You are responsible for providing valid payment information and keeping it up to date.

Cancellation and refunds

You may cancel your subscription at any time through the billing portal or by contacting support. Cancellation stops future renewals; access to paid features typically continues until the end of the current billing period unless otherwise specified. Refunds, if any, are handled in accordance with our refund policy at the time of purchase or as required by law.

Intellectual property

Boothlyo and its licensors own all rights, title, and interest in the Service, including software, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You retain ownership of content you submit; you grant us a license to host, process, and display that content solely to provide and improve the Service.

Confidentiality and data

We handle customer data in accordance with our Privacy Policy. You are responsible for the legality of content you upload and for obtaining any necessary consents from individuals whose data you submit to the Service.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOTHLYO AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE PROHIBITED BY LAW.

Indemnity

You will defend and indemnify Boothlyo against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service in violation of these Terms, or your violation of applicable law.

Changes to the Service and Terms

We may modify or discontinue features of the Service. We may update these Terms from time to time. If we make material changes, we will provide notice as appropriate (for example, by email or in-product notice). Your continued use after the effective date constitutes acceptance of the revised Terms.

Governing law

These Terms are governed by the laws applicable in your primary place of business or, if you are an individual consumer, the laws of your jurisdiction of residence, without regard to conflict-of-law principles, except where mandatory consumer protections apply.
